Terms of Service
These terms govern your use of Omne, the AI workspace for creators and founders, at omne.so and app.omne.so, and every app, extension and API that is part of it ("Omne"). Omne is operated by NM Media LLC ("we", "us"), 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801, United States.
By creating an account or using Omne, you agree to these terms and to our Privacy Policy. If you use Omne for a company, you agree for that company and confirm you may. The sections Binding arbitration and Class action waiver below change how disputes are resolved. Please read them.
Your account
You need an account to use Omne. Keep your email address current, since we sign you in with codes sent to it, and keep access to it secure. You are responsible for what happens in your account and in workspaces you own. You must be at least 16, and old enough to agree to these terms where you live.
Workspaces and members
A workspace holds its own content, members and settings. Its owner decides who joins it and what they can do, and is responsible for its members' use of Omne. Members invited to a workspace agree to these terms too.
Your content
Everything you create, upload or save in Omne remains yours. You give us permission to store, copy, process and display it only as needed to run Omne for you, such as showing it to the members of your workspace, publishing it where you tell Omne to, and keeping backups. You confirm you have the rights to the content you put in Omne, and that using it in Omne does not break any law or anyone else's rights.
Your subscribers, buyers and contacts
When you keep other people's data in Omne, such as your email subscribers or buyers, you are responsible for having the right to collect and use it, for honouring their choices (such as unsubscribing), and for the messages you send them. We process that data for you, as described in our Privacy Policy.
Acceptable use
Do not use Omne to break the law, infringe anyone's rights, send spam or messages people did not ask for, spread malware, harass anyone, deceive people, or collect data in ways a platform's own rules forbid. Do not try to break into Omne, overload it, get around its limits, or copy it to build a competing product. We may remove content or suspend an account that breaks these rules.
Accounts you connect
When you connect another platform, such as Instagram, YouTube or Stripe, you allow Omne to act there for you as you direct. Your use of each platform remains under its own terms. Platforms change what they allow, so a feature that depends on one may change or stop working.
Omne uses YouTube API Services. By connecting YouTube, you agree to be bound by the YouTube Terms of Service.
AI features
Some features use artificial intelligence. What they produce can be wrong, incomplete or similar to what others receive, so check it before you rely on it or publish it. You are responsible for how you use it.
Plans, payment and renewal
Paid plans are billed in advance, monthly or yearly, through Stripe, and renew automatically until you cancel. You can cancel at any time in your settings; your plan stays active until the end of the period you paid for. Prices may change; we will tell you before a change applies to your next renewal. Unless the law says otherwise, payments are not refunded for periods already started. Taxes are added where they apply.
Your store
If you sell through Omne, you sell under your own name and your own Stripe account. You are the seller to your buyers, and you are responsible for your products, prices, taxes, refunds and customer support. Omne may charge a fee per sale, shown before you start selling.
Availability and changes
We work to keep Omne available and your data safe, but Omne is provided "as is" and may sometimes be unavailable. We may change, add or remove features. If we stop offering Omne, we will give you reasonable notice and a way to export your content.
Ending your account
You can delete your account at any time. We may suspend or end your account if you break these terms, if the law requires it, or if your account is unpaid. After an account or workspace is deleted, its content is deleted as described in our Privacy Policy. These sections continue after your account ends: Your content, Plans, payment and renewal (until everything owed is paid), No warranties, Limitation of liability, Indemnification, Governing law, Binding arbitration, Class action waiver and Miscellaneous.
Our intellectual property
Omne, its software, design and the name and logo Omne™ belong to NM Media LLC. These terms give you the right to use Omne, not to own or copy it.
No warranties
To the fullest extent the law allows, Omne is provided "as is" and "as available", without warranties of any kind, including that it will be uninterrupted, error-free or fit for a particular purpose.
Limitation of liability
To the fullest extent the law allows, we and our owners, employees, agents and licensors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or business interruption, arising from your use of, or inability to use, Omne, even if we were told such damages were possible.
Our total liability for any claim is limited to the fees you paid us in the 3 months before the event that gave rise to the claim, or $100 if you have not paid us anything.
Some places do not allow these limits, so they may not all apply to you.
Indemnification
You agree to defend, indemnify and hold harmless NM Media LLC and its owners, employees, agents, successors and assigns from any claims, damages, losses and expenses, including reasonable legal fees, that arise from your content, your breach of these terms, or your violation of anyone else's rights.
Governing law
These terms, and any dispute about them or Omne, are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-laws rules.
Binding arbitration
If you have a dispute with us, please email support@omne.so first and give us 30 days to try to resolve it informally.
If it is not resolved, either of us may choose to resolve any dispute arising from these terms or Omne by final and binding arbitration under the Federal Arbitration Act. Once either of us chooses arbitration, that choice is binding on both.
If either of us chooses arbitration, neither of us has the right to litigate the claim in court or to a jury trial, except that either of us may bring a claim in small claims court if it qualifies. Arbitration is different from court, and rights to discovery and appeal may be limited.
The arbitration is administered by JAMS under its rules in force at the time, before one neutral arbitrator, and conducted in English. It may take place by documents, phone or video. If it is held in person, it takes place in Sheridan County, Wyoming. Each of us pays JAMS fees as its rules require. The arbitrator's decision is final, except for the limited appeal the Federal Arbitration Act allows.
Class action waiver
Any dispute will be resolved only between you and us individually. You may bring claims against us only in your individual capacity, and not as a plaintiff or class member in any class or representative proceeding.
Changes to these terms
We may update these terms. We will change the date at the top and, for significant changes, tell you by email before they take effect. If you keep using Omne after that, you accept the new terms.
Miscellaneous
These terms, our Privacy Policy and any terms shown when you buy a plan are the entire agreement between you and us about Omne. If any part is found unenforceable, the rest remains in force. If we do not enforce a provision, we have not waived it. You may not transfer your rights under these terms; we may transfer ours. We are not responsible for delays or failures caused by events outside our reasonable control.
